Apellis Pharmaceuticals Announces Inducement Grants Under Nasdaq Listing Rule 5635(c)(4)

CRESTWOOD, Ky. and WALTHAM Mass., Oct. 04, 2019 (GLOBE NEWSWIRE) — Apellis Pharmaceuticals Inc., (Nasdaq:APLS), a clinical-stage biopharmaceutical company focused on the development of novel therapeutic compounds to treat disease through the inhibition of the complement system, announced that, on June 19, July 5 and August 9, 2019, the Company approved the grant of equity awards to three new employees with grant dates of September 30, 2019 and October 1, 2019, as equity inducement awards outside of the Company’s 2017 Stock Incentive Plan and material to the employees’ acceptance of employment with the Company. The equity awards were approved in accordance with Nasdaq Listing Rule 5635(c)(4).

The employees received as inducement grants, in the aggregate, options to purchase 102,796 shares of Apellis common stock. The options have an exercise price of $24.09 per share or $22.10 per share, which is equal to the closing price of Apellis common stock on September 30, 2019 and October 1, 2019 respectively, the grant dates of the options. One-fourth of the shares underlying each employee option will vest on the one year anniversary of each employee’s date of employment and thereafter 1/48th of the shares underlying each employee option will vest monthly, such that the shares underlying the options granted to each employee will be fully vested on the fourth anniversary of each employee’s date of hire, subject to each employee’s continued employment with Apellis on such vesting dates.
